Bylaws of the
Put-in-Bay Yacht Club Auxiliary

Revised August, 1999

Article I - Meetings
Section 1: Meetings may be called by the President whenever necessary by forwarding notices to the members of the Organization.
Section 2: The annual meeting shall be held within the four weeks prior to Labor Day of each year.

Article II - Notification of Meetings
All recorded members must be notified of all meetings.

Article III - Hostesses
Chairmen and Co-Chairmen of recurring functions such as luncheons, etc. shall be appointed in such a manner that each member may at some time serve as Hostess.

Article IV - Duties of Executive Board
Section 1: They shall appoint an Auditing Committee of no set number to report on the records of the Treasurer at the first meeting of the year.
Section 2: The Executive Board shall fill all vacancies occurring during the year for term of office.
Section 3: The Executive Board shall, in an emergency, be authorized to transact business, including funds, in the interim of the regular meetings.
Section 4: The Executive Board shall review all proposed projects of the Standing Committee.

Article V - Elections
Section 1: All officers shall be elected by August 31, following the report of the Nominating Committee at a luncheon meeting.
Section 2: The newly elected President shall announce proposed standing Committees for the coming year at the Annual Meeting.
Section 3: Newly elected officers, except the Treasurer, shall take office at the Change of Watch each year. The Treasurer shall take over as soon as the books are closed for the year and all reports are completed.

Article VI - Quorum
Section 1: Six members shall constitute a quorum of the Executive Board.
Section 2: Eleven members shall constitute a quorum at any regular or called meeting.

Article VII - Rules of Order
In questions on Parliamentary Procedure, Robert's Rules of Order, Revised, shall rule.

Article VIII - Amendments
The Bylaws may be amended by a two-thirds majority vote of the members at any meeting, provided that a quorum is present. Notice of such proposed amendment must have been submitted at a prior meeting.
